Mr. Robert M. Gervis is the Independent Director of the Company. Mr. Gervis is Managing Member and President of Epilogue, LLC, a private advisory firm he founded in April 2009. Prior to founding Epilogue, LLC, Mr. Gervis served in various senior executive positions at Fidelity Investments from July 1994 to March 2009. His management experience during his tenure with Fidelity Investments included serving as Chief Executive Officer of an oil and natural gas exploration and production company from December 2002 to March 2006 Chief Operating Officer of a fullservice real estate development and investment company that specialized in the acquisition, design, development and management of highprofile projects in both the United States and foreign markets from May 2002 to June 2003 and Managing Director of a private equity division that invested in a broad range of industries, including technology, biotechnology, real estate, oil and gas exploration and production and telecommunications from March 2002 to March 2006. Prior to joining Fidelity Investments, Mr. Gervis was a partner at the law firm of Weil, Gotshal Manges. He currently also serves on the boards of directors of Georgia Gulf Corporationrationration, and Tronox Inc. Mr. Gervis previously served as a director of Ballyrock Investment Advisors, Inc., a registered investment adviser that manages Fidelity Investments structured credit business. Mr. Gervis holds a BS in Industrial Engineering from Lehigh University and a Juris Doctor from The George Washington University. Mr. Gervis also is a Chartered Financial Accountant charterholder. since 2011.
